Assistant General Counsel
Ullico Inc., headquartered in Washington, DC, is actively recruiting an Assistant General Counsel. We are seeking a transactional attorney to be responsible for handling a broad range of sophisticated corporate transactions involving Ullico Investment Advisors, Inc.’s infrastructure equity investment fund, which primarily comprises assets of multiemployer benefit plans. The candidate would work hand in hand with the investment team professionals, subject matter experts and both internal and outside counsel in structuring, implementing and closing investments in and dispositions of infrastructure assets. The candidate would be responsible for managing and prioritizing multiple concurrent projects.
Typical investments involve the acquisition of equity interests in such assets as power plants, wind and solar generation facilities, transmission lines, water and waste water treatment facilities, data centers, and transportation assets such as airports, bus companies, and shipping companies. The candidate will also work with the investment management team on internal investment fund operations, investor agreements and relations, and operating committees. While the primary job responsibilities involve the infrastructure equity investment fund, the candidate may also be asked to support investment team professionals working in the real estate equity and real estate debt sectors. Thus a broad range of experience in corporate transactional legal work, including real estate transactions, will be preferred.
Responsibilities would include:
- Drafting, negotiating and advising stakeholders with respect to complex commercial transactions;
- Providing legal advice on investment structuring, financing alternatives, ERISA and tax considerations;
- Advising on prudent and legally compliant processes for making investment decisions, modifying investment terms, and monitoring investment performance and valuation;
- Providing legal advice and recommendations to asset management team to ensure that acquired operating company affairs are conducted within the framework of the law and consistent with sound business practices;
- Preparing the minutes of Investment Committee, Opportunity Review Committee and Valuation Committee meetings;
- Providing direction to, and management over, outside counsel and assisting in the selection and retention of outside counsel;
- Advising investment management staff regarding disclosure memoranda, limited partnership agreements, limited liability company operating agreements, and other corporate governance materials;
- Representing the investment fund in negotiations with counsel for investors; and
- Providing regular and timely reports to the Chief Counsel, Investment Transactions, the General Counsel and other senior executives on material developments regarding investment transaction and assets.
Required Skills would include:
- Minimum 5+ years job experience as an attorney with commercial and transactional experience with a focus in infrastructure, energy and real estate;
- Law degree from accredited law school
- Current state bar admission
As a valued in-house resource, the position has extensive internal and external client interactions, requiring excellent verbal and written communication skills, organizational skills, time management, and a keen attention to detail.
